SKG.TO - SKG Interactive acquires control of TomaNet Inc.

RICHMOND HILL, Sept. 18 /CNW/ - SKG Interactive Inc. ("SKG") (TSE:SKG)
today announced that it has entered into a private agreement with Mr. David
Hennigar and with corporations controlled by Messrs. David Hennigar and David
Lowry, pursuant to which SKG will acquire 5,535,543 common shares and
1,750,200 Class A shares of TomaNet Inc. ("TomaNet") (CDN:TOMA, TOMA.A). The
consideration payable by SKG will be 1.5 common shares of SKG, issued from
treasury, in exchange for each TomaNet share. This acquisition represents
approximately 54.2% of the 10,210,367 issued and outstanding common shares
(voting shares), and approximately 7.3% of the issued and outstanding
23,721,897 Class A (non-voting) shares of TomaNet. Completion of the
transaction is subject to regulatory approval. It is the intent of SKG to make
an offer on similar terms as those above, to acquire the remaining common and
Class A shares of TomaNet.
In connection with the transaction, each of Messrs. David Hennigar and
David Lowry will resign as officers and directors of TomaNet and its
subsidiaries and SKG will appoint three nominees to the board of directors of
TomaNet. The Class A shares of TomaNet are convertible into common shares of
TomaNet in certain circumstances. Each common share of TomaNet is convertible
at the option of the holder, at any time, into Class A shares of TomaNet on a
1 for 1 basis. The closing price of SKG's common shares on the Toronto Stock
Exchange on Friday, September 15, 2000 was $0.25.
TomaNet, based in Toronto, Ontario, is a management company that invests
in emerging and innovative computer application technology companies, and has
three operating businesses: SRB International, Inc., Great Lakes Research &
Development Corp, and Caribou Systems, a division of Great Lakes. TomaNet
reported consolidated 1999 revenues of over $15 million.
"This is a major step in SKG's process of evolving from its initial focus
as a major e-commerce destination into an applications service provider and a
wireless application service provider leveraging the technology that SKG has
developed in concert with its partners," stated Mr. Paul Romanchuk, President
and Chief Executive Officer of SKG Interactive. "We see this as a springboard
for SKG to accelerate its growth and broaden its scope as an application
service provider into the market areas currently served by TomaNet." Allan
Magnacca, President and Chief Executive Officer of TomaNet, added, "The
combination of TomaNet and SKG will provide a powerful resource to the current
clients of both companies and a solid foundation for market growth. Our
capabilities and strengths are truly complementary. Just one example is the
opportunity we have to combine SKG's ASP and wireless technologies within our
existing products. Overall, we feel TomaNet's infrastructure of resources and
significant development capabilities will accelerate SKG's evolution into a
true market leader."

Caribou Systems
Caribou Systems designs and implements EIMS (Environmental
Information Management Systems), along with compliance management and
the Caribou HazWaste monitoring system, that are used throughout
several industrial sectors to promote best environmental management
practices; increase pollution abatement and reduction; and ensure
continuing compliance with environmental protection laws and
regulations. With this Caribou's latest contract, announced September
8, 2000, Caribou has added to an already impressive client roster
that includes industry leaders such as Northern Telecom, BASF,
Continental Oil, General Mills, Archer Daniels Midland, the Canadian
Government, Malinkrodt, Boehringer Ingelheim, 7-11 Corporation, RR
Donnelley & Sons and other companies.

SEPI is holding a major "Wall Street Premier Investor Presentation" cruise this evening (Tuesday, Sept 19, 2000) on board their M.V. Island Adventure ship. The stock has been trading very nicely recently with steady volume,

but it is still pretty much under the Wall Street radar screen. This will most likely change after several hundred
