Here's what ML's Steve Milunovich at ML has to say:

SUNW announced that they will acquire Cobalt (COBT; $41.125; D-2-1-9) for approximately $2 billion in stock. Each COBT share will be exchanged for 0.5 SUNW shares.

 The deal makes good sense for SUNW getting them into the server appliance market and we don’t think there will be any meaningful dilution to SUNW as a result of this transaction.

 SUNW believes that the market for server appliances will explode over the next few years.

 The deal gives COBT much greater distribution.

 We are maintaining our Buy/Buy on SUNW.
