Questions about the new tracking stock. If I hold ALA shares, do I get some of the tracking stock, ie so many shares per share? If not, what is the purpose of this? NT never had to do it to get recognition. Seems like a way to fleece current shareholders more than anything else. Witness T and its wondrous wireless stock. Raised a bunch of cash and T kept right on falling.

Alcatel Shareholders Approve Issue Of Tracking Stock

Dow Jones Online News, 09/20/2000 06:27

PARIS -(Dow Jones)- Alcatel SA shareholders Wednesday overwhelmingly approved a company plan to issue a tracking stock for the French telecommunications equipment maker's optical-components business.

The new stock should float on the Paris stock exchange and on Nasdaq on Oct. 20, with Alcatel planning investment roadshows from Oct. 4.

At a meeting, shareholders voted 96.5% in favor of the plan, which will see the issue of the tracking shares, equivalent to 2% of the company's issue capital.

Alcatel shareholders will have priority in subscribing for the tracking stock, but their aggregate ownership of the stock will have a ceiling of 80% of the total issued.
