The Securities and Exchange Commission ("Commission") deems it appropriate and in the public interest that a public
administrative proceeding be, and hereby is, instituted pursuant to Section 8A of the Securities Act of 1933 ("Securities Act") to determine whether Respondents Broad Capital Associates, Inc. ("Broad Capital") and Murray Aaron Huberfeld ("Huberfeld") violated Section 5 of the Securities Act.

II.

In anticipation of the institution of this proceeding, Broad Capital and Huberfeld have each submitted an Offer of Settlement ("Offers") which the Commission has determined to accept. By the terms of their respective Offers, Broad Capital and Huberfeld, without admitting or denying the findings set forth below, except that each admits to the jurisdiction of the Commission over them and over the matters set forth in this Order Instituting a Public Proceeding Pursuant to Section 8A of the Securities Act of 1933, Making Findings and Imposing a Cease-and-Desist Order (the "Order") and, solely for the purposes of this proceeding and any other proceeding brought by or on behalf of the Commission or to which the Commission may be a party, consent to the entry of this Order.
