"ADC announced that it has agreed to acquire Broadband Access Systems (BAS)," said Silverstein. "A private company located in Westborough, Massachusetts, BAS is establishing itself as the leading supplier of an advanced integrated Cable Modem Termination System/broadband router for cable operators. ADC is paying $2.25 billion in stock. ADC projects dilution of $0.02 for the October 2000 quarter and $0.05 to $0.06 for fiscal 2001. ADC has once again proved itself to be a shrewd acquirer, in our opinion, by acquiring what we believe to be the clear market leader in a fast emerging market segment, for what we believe to be a relatively inexpensive purchase price, given the substantial revenue and earnings potential of BAS's Cuda 12000 broadband access system. We recommend that investors take advantage of the market's initial reaction to the announced transaction and purchase ADC's shares. We reiterate our Buy recommendation on ADC's stock."
