Each unit consists of one common share and one share purchase warrant. The warrant is exercisable for a two-year period at 10 cents. The foregoing is subject to regulatory approval. The company will not be proceeding with the $500,000 brokered private placement announced in Stockwatch June 9, 2000. Elk 1 to 12 claims The company has acquired a 25-per-cent interest in the Elk 1 to 12 modified grid mineral claims located in the historic Barkerville gold mining camp at Wells, B.C. To earn its interest in these claims, the company will issue 100,000 shares for each claim block acquired, subject to regulatory approval. The Elk 1 to 12 claims cover 6,000 hectares and overlie the two-post and Crown granted mineral titles currently being developed by International Wayside Gold Mines Ltd. The Elk claims were staked to cover obvious open areas shown on the relevant mineral title maps in and around the Bonanza ledge discovery zone. By overstaking the area with modified grid claims, any open areas are acquired by the Elk claims. At the request of the chief gold commissioner, a GPS survey was undertaken to confirm open areas within the Elk claims. In addition to confirming the open areas shown on the claim maps, this survey identified open ground amongst the two-post IWA claims in the immediate area of the Bonanza ledge discovery. A program of geological mapping and detailed prospecting is being undertaken on the Elk claims. The Wells/Barkerville area is one of the oldest, most prolific gold-producing areas in British Columbia. The properties are in the immediate area of the recent discovery announced by International Wayside Gold Mines.
