I had a chance to talked with the company after the news came out. I was not surprised to find Mr. Chu at the office at 8PM since this seems to be the standard protocol.

With the current weakness in the GEM exchange it was a good move in my opinion not to list directly onto the GEM at this time. However according to the news they still have all the pieces in place for the fund raising in HK along with their Tia Fook and ICEA relationships which is great to hear.

Personally I don't know any companies that go right from the CDNX to the small cap. They all stop over at the OTC first. The company told me that they view the OTC listing as a quick spring board to a more senior exchange. They said it was far easier to list on the OTC and meet the senior listing requirements right away and move up then it was to get a direct listing on the exchange. I can't argue with faster and cheaper and from what I have seen watching other companies to the leap they are dead on the money.

What was great to hear from the company was that the agreement with Comet has several pooled selling and lock-up clause the restrict the majority of shares from being sold. I was told that the public float at the time of listing would be approximately 500,000 shares. In my opinion it is necessary to have a very tight float on the OTC or the MM's will really play games with the stock.

According to the news the listing of SEG is "anticipated to take place during the last quarter of 2000". According to the CIBT news "The parties will take the required steps to access the U.S. public equities market during the last quarter of 2000". Mr. Chu also mentioned that they want to list CPT on a US exchange as soon as possible.

I would guess that CMEK will be halted until the merger and the rollback of its shares (this is what they mean by recapitalize in the CPT press release).
