Here are some facts to consider based on AVAYA information statement received Friday.

1. AVAYA will take away about 3000 from Bell Labs. As of June 2000 there are 33,000 employees including 4000 in R&D, 3400 account managers, 8100 field services, 800 in professional services. Of 33,000 employees 19000 in management and non-union and approx 13,000 in Union.

2. AVAYA will assume about $4.5B

3. Will have 278.29 million shares of common shares.

4. Avaya will trade on NYSE under "AV".

5. Revenue for 9 months of 2000 is $5.664B. For 1999 FY $8.268B.

6. Has as of June 2000, 8 manufacturing facilities, 68 ware houses in 21 countries. 536 official locations in 50 countries and 24 R&D facilities in Australia, India, Israel, France, Singapore, UK and US.

7. Backlog, as June end 2000, is $538M.

8. Philadelphia options exchange will be trading options with strike 20, 22.5 and 25 starting October series.

9. AV will be included in S&P 500 from day 1.

AV should open around $22 which was the closing price of AV_W on Friday.
