It looks like msn is trying to buy their way into infospace territory....the deal with nextel that msn mobile has is based on a 600 million dollar investment by msn in nextel....msn mobile is also available as a hotsite on verizon even thought infospace powers the main wireless verizon site...they probably paid a bit for that as well although I can find no reference to what that cost msn...msn mobile has none of the new features infospace plans to offer but they have al kinds of deals with hardware people and of course they have windows for mini handheld pcs so they are going to eventually get some market share...at the moment however it would seem msn is a far second and losing competitor to infospace.....

This is what the Joint Proxy Statement states.

ARTICLE I

1.2 Effective Time; Closing. Subject to the provisions of this Agreement, the parties hereto shall cause the Merger to be consummated by filing a Certificate of Merger with the Secretary of State of the State of Delaware in accordance with the relevant provisions of Delaware Law (the "Certificate of Merger") (the time of such filing (or such later time as may be agreed in writing by Company and Parent and specified in the Certificate of Merger: being the "Effective Time") as soon as practicable on or after the Closing Date (as herein defined). The closing of the Merger (the "Closing") shall take place at the offices of Wilson Sonsini Goodrich and Rosati, Professional Corporation, at a time and date to be specified by the parties, which shall be no later than the second business day after the satisfaction or waiver of the conditions set forth in Article VI, or at such other time, date and location as the parties hereto agree in writing (the "Closing Date").

ARTICLE VI is Conditions to the Merger.
