Sam, MXTR is paying 1.52 MXTR share for each HDD share.

It would be a better deal to pay 0.5 MXTR share for each HDD share.

Remember, if public shareholders want to be paid for their stock, they should expect to pay a transaction fee, just like SEG paid to be acquired by VRTS.

Any cash distribution by HDD to its shareholders would be a taxable event.
