I received an E-mail from newsdesk@shareholder.com which was a FAQ on this subject (Q&A for Shareholder Direct (as of 10/5/00)). It stated (in part) the following:

7)Q: What is the tax allocation for the Avaya and Lucent shares?

A: Based on the average high and low prices at which Lucent Technologies and Avaya traded on October 2, 2000 -- as reported for the New York Stock Exchange transactions -- the Avaya tax allocation is 5.476 %. The Lucent tax allocation is 94.524 %. If you have questions about Avaya please call their shareholder services department toll-free at 1-866-22AVAYA.

Hope this helps,

Roger
