Highlights of probably the last Seagate conference call before it goes private:

1) Reverse triangular merger on track to close sometime in November. Pending class-action lawsuits not expected to be impediments.

2) Gating factor to larger revenue upside in December quarter is a persistent shortage of one type of semiconductor device. {my guess - preamplifier)

3) Europe met internal targets.

4) Enterprise pricing was less aggressive. Consumer pricing was more aggressive.

5) Work with Cobalt/Sun on storage-centric server appliances to continue. Xiotech just released 3rd generation storage virtualization software. First CacheFlow personal recorder modules (targeted at OEMs) will ship during 3Q2001.

6) Only 3% of heads and 12% of media were outsourced during the quarter compared to 6% of heads and 15% of media in the previous quarter. Long-term outsourcing goal of head/media still remains at 10-20%.

7) RE: HDD and Maxtor. No comment.

8) Fibre Channel disk drive sales came in "above plan" with increased activity by several OEMs in high-end SANs.
