no lawsuit is here - Jerry sells portion of his holdings (500k at a time) either stock is moving up or down. He does not need to care about arbitrage etc since we grant him millions of new stock options each year free of charge

No, the SEC does not force him to sell nor does it limit him to only selling. If he thinks AMD is a good investment he can buy shares as long as he follows the SEC rules.
