NTCR pays the $8.6 million and DCLK drops out of the bidding:

NetCreations Pays $8.6 Million Fee to DoubleClick

New York, Dec. 27 (Bloomberg) -- NetCreations Inc., a seller of e-mail marketing services, said it paid DoubleClick Inc. an $8.6 million fee to end the online advertising-services company's attempted purchase of NetCreations because of a larger bid.

NetCreations paid the fee as part of an agreement with New York-based DoubleClick, NetCreations spokeswoman Adrienne Press said. DoubleClick offered to pay 0.41 share for each NetCreations share in October and dropped out of the bidding when Seat Pagine Gialle SpA of Italy agreed to buy NetCreations for $7 a share earlier this month.

NetCreations has yet to pay about $850,000 to $900,000 in DoubleClick expenses related to the attempted purchase, which it agreed to pay when DoubleClick offered to buy it, Press said.

New York-based NetCreations also postponed an investors' meeting scheduled for Dec. 28 so it can prepare materials asking shareholders to approve the Seat Pagine offer.

The shares of NetCreations rose 6 cents to $6.84 on the Nasdaq Stock Market. They'd risen 55 percent since Dec. 20, when the company said an unidentified bidder made an offer, though they had fallen 85 percent so far this year.
