I'm afraid you need to be a New Jersey company in order to sell your state tax loss - not enough for the buyer to be one. Historically, there has not been much demand for shell biotechs with tax losses, and so I would not include this in the valuation mix. Buying at around a buck looks like a good deal to me, based mainly on the patent case with the other assets thrown in as a kicker. (The opposite way round than Rick views the situation <g>) Peter
