Scanner- I suppose I'm of the nature to take the purpose of the ANTC/NT/Arris, Inc. at face value. You may be correct about some other motive and God only knows how much ANTC management enjoy only thinking of themselves.

But from a strategic perspective, the deal does make a lot of sense. The agreement about who can sell what Cornerstone(Arris Interactive product line) product to whom and where, was very confusing to customers. And IMO, it made it unclear as to who was going to go after who to close a deal. With the new structure it's much cleaner.

The new Antec(which will be called Arris, Inc.) can go after any MSO, anyplace in the world, with zero strings and rules attached to the Cornerstone interest. It's all included under the new Arris, Inc. Anything beyond what the new Arris, Inc. cannot offer to the MSO, Nortel is clearly the company to step in and get the business. Quite a combo.

By the same token, you would hope that the new Arris, Inc. will clearly establish with Nortel's massive worldwide sales organization, a clear message that Arris, Inc. will be able to supply any MSO that Nortel is currently after(fighting with Cisco from my speculation) with all the transport, distribution, circuit-voice, and packet voice product they need. In other words, between the new Arris, Inc. and Nortel, they are a complete end to end shop for any HFC plant(but still lacking only A-D conversion equipment for the headend). -MikeM(From Florida)
