No need to be flippant. I think I suggested already where the shares come from.. look at the gains on equities.

I can tell you that using 357M shares for acquistions more than consumes the issuance of shares accounted for the in the 10K so I doubt the shares are coming from issuance. ;)

Beyond the dilution topic, it seems CSCO's operating margin is falling--to 17% in FY00 from 24.6% in FY99. Meanwhile, inventory days have grown from 55 to 65, which cannot be good for fans of free cash flow.
