SA Networks' Diller on Advertising, Big Acquisitions: Comment

New York, Oct. 26 (Bloomberg) -- USA Networks Inc. Chairman and
Chief Executive Barry Diller discusses a slowing of the U.S.
advertising market and prospects for the company to make a large
acquisition. Diller spoke today on a conference call with analysts
following the company's third-quarter earnings report.

On an anticipated slowing in the U.S. advertising market:

''Anyone who says there's no ad slowdown is saying something for
manipulative purposes that will not prove to be factually true. You talk
to anyone who owns TV stations, anyone who owns cable service,
and find someone who says it's vibrant -- it ain't. Do I think it's a
disaster? I don't. But it can't maintain (the previous) pace. I don't think
it will be vibrant.''

On prospects of USA Networks making a big acquisition:

''We aren't on the verge of one. We've had a couple of interesting
conversations.''

Vivendi SA, which is acquiring Seagram Co., the controlling
shareholder of USA Networks, ''has said, 'We look at (USA Networks)
as a way to grow distribution in the U.S.' Having said that, I wouldn't exactly think you should hold
your breath for some big transaction. You may be holding it for a while.''
