INTC--Intel Seen Accepting Tiscali/World Online

AMSTERDAM (Reuters) - Semiconductor giant Intel Corp (NasdaqNM:INTC - news) is expected to give its approval for the 5.29 billion euro takeover of Dutch-based Internet service provider (ISP) World Online (WDON.AS) by Italian telecom company Tiscali (TIS.MI), according to a source familiar with the deal.

Intel owns about eight percent of World Online.

Tiscali, which announced the intended takeover in September, had previously received irrevocable agreements from shareholders holding 54 percent of World Online, including the Sandoz Foundation, World Online's largest shareholder.

The Tiscali offer is conditional on 80 percent acceptance, with the possibility that Tiscali could reduce the amount required to 50 percent plus one share.

World Online said on Monday it expected the official offer document in a few days and no later than November 6.
