My conversation {as a shareholder} with Mr. John Howell last evening :
Question: According the PR, the tests seem to have just begun. Whatever happened to October?
Answer: I cant really comment on it , but believe me it will all unfold in the very near future. All I can say is we have the technology of 52mbs@9000 ft.
Question: We just brought Dr Rubinson on board. According to the PR, he will be responsible for assisting the company in accelerating the research and development efforts of the Cu@OCx technology. Is there something wrong with our technology that he has been brought in for? If not what are his exact contributions going to be?
Answer: Vishal {shareholder} what you need to do is, after midnight tonight, the new New wheel website is going to be put up and that will show you a some of the general directions the company is planning to go. This clues us as to how Mr. Rubinson is going to fit into all that is going on. The new website is going to point out towards our productization goals that haven't really been discussed.
Question: When talking about a "Prototype", what is this prototype and is it already built or are we in the building process. The last thing I can remember is Pengy {shareholder} holding a card in his hand which he mentioned when he was at the company, could you please elaborate.
Answer: What Pengy {shareholder} had was a circuit board, basically a PC board . The prototype will contain the PC board. When we say prototype, we are talking about beta test units which can be sent into the field for testing.
Question: Now in the PR there is a line that says „as the Company completes the prototype design, conducts field-testing, and ultimately, begins to commercialize the technology for a variety of telephony and networking copper infrastructure markets‰. This line says a lot, so lets talk about it. Are we almost on the verge of completing the prototype?. What is the meaning of „Infrastructure markets‰? To me, the whole world is a market
Answer : Any type of testing has a prototype. Completion of a prototype will depend on whom we negotiate field testing. For example, a company may want D-SLAM cards and then on the CO end they might want a particular black box configuration of CPE. As far as Infrastructure markets, we have to see who our customers are. For example, each TELCO has its own infrastructure. Take Quest for example, they use a lot of fiber and copper, Southwest Bell has a lot of COAX so it all depends on what kind of infrastructure we will be coming across or will have to provide for.
Question: Now Mr. Rubinson says „It appears that New Wheel Technology has indeed developed the basis for extending the range of broadband technologies over copper wire‰ Now there are four words here „IT APPEARS‰ AND „INDEED DEVELOPED‰ to me it seems we have the technology. Can you state that, as a fact, we do indeed have the technology? I think the PR pretty much guarantees its existence. Also, the words „much work left to be completed‰... what is he referring to here?
Answer: Vishal {shareholder}, it is a fact that we have the technology. There really are no questions about it. When Dr Rubinson says „ it appears‰ what he means is, what he sees in the lab is going to have a big impact on the world, but there is a lot of work to be done as to taking the prototype from the lab and to integrate it into the real world.
„Indeed Developed‰ in simple terms means that we have what we have claimed. The words „much work left to be completed‰ is referring to, in simple mans terms, if we were to provide streaming video to the customer using Blockbuster's Video Library (for example) into an individuals home, there would be several little pieces to be developed just for that one application .
Question: In the one of the previous PR‚s the company said that it has achieved 52mbs@9000ft. Comparing that statement to a statement in the new PR which says „New Visual is pioneering the development of a proprietary broadband transmission technology with the mission to utilize existing copper telecommunications infrastructure to deliver high data content to the home or office at VDSL (52Mbps) data transfer rates‰. Tto me, the word mission could mean several different things. One of which is that we are trying to achieve this speed and that‚s what the goal is and secondly, we have achieved this and are trying to get it out there in the real world.
Answer : What „mission‰ means is our efforts to take the technology and implement it into the real world. It does not refer or mean that we don‚t have the technology. WE HAVE THE TECHNOLOGY, VISHAL {shareholder}.
Question: The PR that New Visual came out with was more of a disappointment, because the share holder community was expecting something from Lucent or some sort of third party testing results. Why did the company do this, knowing that it might adversely affect the share price, which it has?
Answer: First of all, the interim price is not what the objective of the company is right now. The objective is to be prepared for the onslaught that will be brought on by making that announcement. If we don‚t have Dr. Rubinson in place to deal with some of these issues and to articulate the technology to the academia and the industry critics, then we might expose ourselves. Dr. Rubinson has learned to communicate very complex subjects in a written format which is understandable in the community everywhere.
Question: Dr. Rubinson is a consultant, are we paying him a salary and/or is his contract based on stock options?
Answer: I am really not sure of his compensation package. I don‚t really get involved in that part of the business. That will probably show up on one of our public reports.
Question: In our recent conversations you have mentioned we will be having quite a few PR‚s coming out in 30-90 days. Seems like there is a rumor that we may not be seeing any PR‚s till next year . Do you have any comments on that ?
Answer: That is not true, starting with this PR the PR rollout process has begun and you will be seeing a whole series of PR‚s. So just hold on tight, you never know when the next PR might be.
Question: The PR says „New Visual also reported that validation testing of the Cu@OCx technology has begun. Currently, New Wheel Technology engineers are testing the core transmission technology.‰ What does „engineers are testing the core transmission technology‰ really mean. To me it looks like we are still testing what we initially claimed. Please tell me if we are testing the basics or if it is the capability of the core transmission technology to achieve something else that we have not claimed yet?
Answer: Our core technology will work over copper on a variety of different systems and different speeds whether it is OC1, OC3, OC12. What we are testing is the ability of the core technology, and what it can achieve over many different applications.
Question: Does that mean that there may be a flaw to the tech?
Answer: (John laughs) No, we are testing on different mediums and we are looking to see how far we can really push it on these different infrastructures. In doing so, we are really testing the capability‚s that the tech might have. Just one of the capabilities is 52mbs@9000ft.
Question: How does being on NASDAQ affect the company ?
ANSWER: That probably has one of the single most beneficial effects because once on Nasdaq even the institutions can take positions. We are talking mutual funds and even the street institutions, ie Meryl Linch, Morgan Stanley Dean Witter, etc... They can represent our stock to their customers and increase our shareholder base. What that will do is create a whole new audience. We happen to be in one of the most important sectors of today‚s technology which is the infrastructure sector. Once that happens, we will have hundreds and millions of buying power that will invest in the stock. And, as we all know, there is only limited amount of shares to buy.
Question: Would the company consider waiting on NASDAQ to release any news, considering the answer to the question above? I mean, if I were in charge I would definitely want to wait till the company goes NASDAQ. Then the MM‚s could'nt play with us which may not be healthy for the stock price.
Answer: I can't comment on that part of our strategy.
Question: What is our expectation on NASDAQ. When is the last time we were contacted by them?
Answer: As far as timeframe, I can't comment on when we will see NASDAQ, we should have got it a long time ago. The last time we were contacted by them was today (13 Nov 2000).
Question: Is the election going to affect any plans we might have ?
Answer: We have talked about it but I don‚t really seeing it being a big factor. It does, of course, have a chilling affect.
Question: We seem to have a revolutionary technology. Why aren‚t any companies taking positions, why don‚t we have any volume ?
Answer: Well everybody knows about the Lucent testing and there hasn‚t been any announcement in regards to that so you would think people are waiting on that. Even though we have stated that we have achieved 52mbs@9000ft, you have to understand that it is a very incredible claim and a very broad market... most people just don‚t believe it.
Question: Why did the company choose Lucent? Why not just hold a huge press conference and have renowned engineers and scientists in the crowd to show the world what the company has?
Answer: Well that was a choice we made based upon our assessment done 5 months ago when we signed this deal with lucent. It was made based on the credibility that Lucent has in the market place. Sure we could have picked a bunch of engineers but we are trying to get more bank for the buck.
Question: Has anybody else seen the tech besides NVEI engineers and the company officials ?
Answer: I can't comment on that.
Question: If the test is completed, how long does it take to release the results because the test should not take more than a second, right? Is there a time period that the company has to report to SEC to in regards to the test ?
Answer: Well the parameters set for the test are quite complex and I can't comment on how long it might take. What else besides the test may be involved in the process. Once the test is completed there will be no doubt as to what this technology can do.
In regards to reporting to SEC about the test, I am not really sure what the time limit might be but I am sure there is a responsible response time to follow, I am just not sure what it is.
Question: I have heard rumors that we have been offered substantial amount to get bought out. If the company did decide to get bought out then what kind of a price we will be looking at ?
Answer: That‚s a very good question, we have discussed pretty much everything imaginable but I really could not put a price on the technology. I guess we will have to look into consideration future revenues back to present day value. But I really don‚t have a number.
Question: A lot of people have said that they are skeptical whether NVEI can come through with this, and that the law of physics says that this is not possible .How long do you think it will take for everybody to shut up, are we looking at a long wait ?
Answer: I don‚t think so (in a more confident voice). Once the validation announcement comes out we will be saying "what do you mean its not possible, we just did it".
Question: Is there any part of the technology still on paper ?
Answer: If you are talking about the core technology, no its not. Whats on paper is what we have planned for future.
Question: Is there any way possible that what the company claims may not actually come through, for instance, I now if a turn a light switch on the bulb will light up, if not then I know its just a part that I might need to change. In case of what we claim is it possible that if the test is done again we may not achieve 52mbs@9000ft .
Answer: The core technology is solid and is not fickle, if that‚s what you are asking me.
Question: Any comments on LB financing, and if we have used any money from them yet ?
Answer: I shouldn‚t comment on that. After the press releases start coming out, starting with today‚s press release, everything will unfold and the world will be looking at us.
Question: Do we need to file for any international patents?
Answer: Yes we do, in every nation on this planet. I can't comment on how far we are as to this process but we will make announcements when different portions are complete. All these pieces will come together when our news releases start coming out very shortly.
Question: Any comments on the price drop ?
Answer: Yeah, its amazing they have got the price down on hardly any volume.

New Visual Entertainment, (OTCBB:NVEI), which applied to be listed on the NASDAQ Small Cap Exchange on June 27 2000, through its New Wheel Technology Subsidiary is pioneering the development of a proprietary broadband transmission technology named Cu@OCx. The first in a related series of patents to protect the technology was filed by the company on June 28 2000. This technology has the ability to transfer data over existing copper telephone wiring infrastructure at the speed at VDSL 52Mbps. On July 17, 2000 NVEI's New Wheel Subsidiary announced they had successfully tested the technology at the distance of 9000 feet under the same conditions that Lucent's Network Care Division which was originally scheduled to begin on September 18, 2000. However the testing was rescheduled for a date that is to be announced as the engineers at New Wheel have discovered some robust enhancements of the Technology, and will be testing those in the near future.
This distance is very significant in that existing VDSL technology presently in the marketplace has the same speed, but can only transfer data at a distance up to 1000 feet. With New Wheel's Cu@OCx technology being able to deliver high speed content at a planned distance of 9000 feet telephone companies will have the capability to compete with cable companies for television and Internet services while still supplying their consumer base with phone service over existing phone lines. Taking that into consideration, this is a truly disruptive technology in that it has the potential to change the way that many communications are handled today.
Upon Lucent's verification of the Cu@OCx technology NVEI can then begin the licensing process. This process will include presentations of the technology by NVEI to telecommunications and other related companies. Any licensing agreements that the company may enter into could very well result in a proverbial windfall of revenues for NVEI.
52Mbps. Why is that significant? What does that mean to me? First of all, transferring data at the speed of 52Mbps over existing telephone lines to the home and business consumer can potentially save the telecos billions of dollars in upgrading the present infrastructure to fiber optics. In addition to that, at the 52Mbps speed, it will allow the telecos to compete with the cable companies by enabling them to offer HDTV, Internet, and Phone Services all over the existing infrastructure. That is very significant. Competition for the cable companies. Let me break that down even further. You start with 52Mbps. Then you subtract the speed that it will take to offer TWO HDTV signals over the line, which would be approximately 40 Mbps. That leaves you with 12Mbps for your computer and phone lines, which is significantly greater than today's technology, which runs at approximately 1Mbps or less for most present DSL services.
The uses for the Cu@OCx technology do not end there though. Further uses for the Cu@OCx Technology include chipsets for sale to manufacturers, industrial controls, military applications, and general computer controls. As you can tell, the Cu@OCx Technology will not only allow your computer to get data faster while broadcasting two HDTV signals, and phone service, but it will also enable the computer to process the information that it gets at a faster rate. This is what is meant by the term " disruptive technology ". This technology truly has global implications that will drastically change the way the world now communicates. With it's 3D Technology, they can produce true stereoscopic 3D at a far less cost than any of the competitors presently in the marketplace. In addition to the projects that the company has done in the past, on April 10, 2000 they signed a production agreement with Bruce and Dana Brown to produce "Top Secret Surf Film". The "Top Secret Surf Film" will chase storms around the world in search of great surfing adventures. Other credits by Bruce Brown include: "The Endless Summer" and "Endless Summer Two". Both are high-grossing documentary style films. In addition to the "Top Secret Surf Film", NVEI will be producing a 3D behind-the-scenes short for release to special venues.
On January 5, 2000 NVEI purchased Impact Multimedia which operates as a full service production studio capable of producing CD-ROM, DVD, or web-based multi-media presentations utilizing the most advanced technologies in animation, graphics design, compression, digital audio, motion capture, and vectors for corporate, commercial, and consumer applications. On March 31, 2000 NVEI entered into a definitive merger agreement with award winning Intelecon Services, however this merger agreement was terminated in September 2000 in order for the Company to focus almost exclusively on the development of the proprietary Broadband Technology.
On June 12, 2000, NVEI hired the nationally recognized public relations firm Continental Capital and Equity, or CCEC. In August 7, 2000, New Visual Entertainment added two members to the Board of Directors. Both Ivan Berkowitz, and Bruce Brown bring a vast array of knowledge and experience to the company. Mr. Berkowitz also serves on the board for several NASDAQ listed companies. In addition to that, John Howell has been named Executive Vice President of the Company and will be focusing on overseeing critical operational issues associated with the ongoing development of the Company's patent-pending broadband transmission technology. On August 22, 2000 the Preston Langley Group released a " sell " reccomendation pr for NVEI. The press release was written in such a form that it not only mis-stated several facts but omitted almost all positive developments of NVEI. It didn't take long for investors to come up with research that shows that the Preston Langely Group has been under investigation by the SEC and fined and sanctioned on several occasions.
