QCOM--QUALCOMM Receives IRS Ruling on Proposed Spin-Off of QUALCOMM CDMA Technologies
SAN DIEGO--(BUSINESS WIRE)--Nov. 2, 2000--QUALCOMM Incorporated (Nasdaq: QCOM - news) today announced that it has received a ruling from the Internal Revenue Service (IRS) indicating that the proposed spin-off of its integrated circuits and system software business (QUALCOMM CDMA Technologies), referred to as QUALCOMM Spinco (``Spinco''), should be a tax-free distribution to QUALCOMM and its stockholders, provided that the spin-off is executed in accordance with the representations made in the ruling request.

QUALCOMM stockholders of record as of the record date, which is yet to be determined, would receive shares of Spinco common stock, at a ratio to be determined, and cash payments for fractional shares. Cash received in lieu of fractional shares would be taxable for U.S. federal income tax purposes.

The Company also announced that consideration of the Initial Public Offering of Spinco common stock will be postponed until January of 2001 due to unfavorable market conditions.

nite, about 6 months ago i posted that if samsung would hurry up and settle they could, because of the vol. of their production and lead in rdram , rule the dram world. well, better late then never. they will rule big time and be able to set prices. the pressure they will put on mu is going to be tremendous. if rmbs sues end users for use of unauthorized sdram and ddr , which rmbs holds the patents on, samsung will rule the roost. ( if you were a oem and needed sdram or ddr, would you buy from an authorized source or risk a law suit from the patent holder)?( i think the hitachi sega settlement resulted from that threat).this settlement is the biggest rmbs news in a year. the only reason the stock didn't pop yesterday was general weakness in the nas. and wcoms hit. we should have a run today. btw 52 is a paper tiger. we could take 52 out on the open and never look back. the prospects for rmbs have NEVER looked better. just my opinion but i feel real good about this. rocky

this Elpida is just NEC and Hitachi revisited
how about next week, a repeat of Samsung story
what I liked most about Samsung was it focused on SDRAM

in the next several weeks or few months, I expect the market will make a mental transition with RMBS stock
they will gradually shift from regarding RMBS a speculative stock, to viewing it as a royalty mighty engine

in the stable: TOSHIBA, OKI, NEC, HITACHI, SAMSUNG

as soon as Micron enters the stable, we jump 30-40% overnight
