I read the voting status a little different than you explained but I do not trust anything I heard from SEG. I voted NO (Against the merger, Against the LBO) just to make sure my votes were counted the way I wanted them to be counted.

Sorry, but on this one you are incorrect:

"If you
don't vote and DON'T RETURN your proxy, it just means that your number of shares are not
counted in the total vote. It isn't a vote FOR or AGAINST. It just means that there are fewer
shares represented in the TOTAL voting shares."

All shares for which proxies are not returned are counted as, "No," votes. This is clearly stated in the SEC filings.
