Carmel, Indiana, Nov. 7 (Bloomberg) -- Conseco Inc. shares jumped 23 percent after the rating company A.M. Best Co. restored the insurer's investment-grade credit standing, clearing the way for it to complete the credit extension signed in September.

The $2.3 billion pact with lenders led by Bank of America Corp. and Chase Manhattan Corp. required the terms be renegotiated if Conseco remained below investment-grade at March 31, 2000.

Conseco's $1.1 billion of asset sales since Gary Wendt was named chairman and chief executive in June generated enough cash to meet its obligations, said A.M. Best. It raised Conseco's credit rating to ''A-'' from ''B++'' after cutting it in June. Raising the rating was one of Wendt's top aims, he has said.

''I was expecting this to happen next year,'' said Michael Sheldon, an analyst at Spencer Clarke LLC, who rates Conseco a ''hold.''

Conseco shares, down 53 percent this year, gained $1.63 to $8.56.

The rating agency said in a statement it was ''satisfied that Conseco can secure bridge commitments, if necessary, to further insulate it from the possible affects of either asset valuation shortfalls or the timing of asset sales required to meet its outstanding repayment obligations through 2001.'' A.M. Best said it expects that any potential shortfalls will not exceed $150 million.

Conseco Receives Upgrade From A.M. Best Co.

INDIANAPOLIS, Nov 7, 2000 (BUSINESS WIRE) -- Responding to news that A.M. Best
has upgraded its financial strength rating to A- (Excellent) from B++ (Very
Good), Conseco (NYSE:CNC) today said that it was pleased to have this affirming
news.

The upgrade was termed "very welcome, but not surprising" by Conseco Chairman &
CEO, Gary Wendt. "We have great confidence in our turnaround plan, and it is
gratifying to have it affirmed by such an important third party."

The return of Conseco's rating to A- (Excellent) satisfies early a covenant in
Conseco's recently amended bank debt agreements
. That covenant required the
company to achieve the A- rating by March 31, 2001.

"This is good news for all of our insurance business units," said Wendt. "It
will eliminate concerns in our independent distribution channel and should have
a positive effect on margins."

"We are still in a turnaround situation," said Wendt, "but this is one more big
boulder removed from our path to a New Conseco."

CNC gets debt upgrade

Conseco (CNC: news, msgs) is jumping $1.50, or 21.6 percent, to $8.44, after
A.M. Best raised the debt rating on the Carmel, Ind., financial services firm's
insurance units to 'A-' from 'B++' and removed them from 'under review' status.
Michael Sheldon, an analyst with Spencer
Clarke LLC, said this event represents a significant
strategic positive for the company. "This reassures investors that
management is taking the right steps to make the company competitive and
profitable in the marketplace," said Sheldon, who has a "hold" rating on Conseco
with a price range target of $10 to $15. "I believe the stock could move several
dollars higher in the next few months as investors come to terms with this news."
