A corrected repetition follows:

LOS ANGELES, Nov 7 (Reuters) - JB Oxford Holdings Inc. <JBOH.O>, a discount and online broker, said on Tuesday it had offered to pay $1.5 million in a settlement with the Securities and Exchange Commission, which has been investigating the company's trading activity and its former relationship with a convicted stock swindler.

In a statement, JB Oxford said the Pacific reginal office of the SEC had recommended to its Washington headquarters that the settlement offer be accepted.

Under the JB Oxford proposal, the broker also said it would refrain from violating securities laws and take certain actions to ensure continued compliance with the law.

The SEC has been conducting a three-year probe of the failure of previous management of JB Oxford to disclose the firm's relationship with Irving Kott, a former board member and father to the firm's former chief operating officer. Kott was convicted of securities fraud in Canada in 1976.

Another issue of the investigation was the trading of stocks tied to Kott.

JB Oxford's current management and ownership were not subjects of the SEC investigation, JB Oxford said.
