1-Mr. Cala, during the course of 2000, purchased 1,894,000 shares for cash

2- purchased 2,800,000 shares by exchanging his rights in the Cascina restaurant lease in
California

3-purchased 10,000,000 shares as partial payment by exchanging his rights to the Undersea
Resort included in the acquisition of Cala Hotels, Inc.

4- purchased 85,856 shares by exchanging his services in lieu of salary

5- purchased 45,000 shares by exchanging convertible preferred shares he received at the
time of his initial involvement with the company
