In the old days, Bob, when an analyst would justify a downgrade by saying that there is "no near term catalyst", that often was a code phrase to mean that the analyst might have had information that could hurt the stock, but publishing the information would be too close to insider rules.

With FD, I doubt that is the case any more, but it is interesting to see that the old clichés are still around.
