LOS ANGELES, Nov 21, 2000 /PRNewswire via COMTEX/ -- The Hartcourt Companies
Inc. (OTC Bulletin Board: HRCT; Frankfurt: HCT), www.hartcourt.com, today
announced that it has completed the first phase of investment and signed a
definite agreement with Hopeman Computer Services Corporation (Hopeman), to form
a Hartcourt majority owned subsidiary in Shanghai to continue the development of
HCTV financial TV programs. Hopeman is a technology company certified by
Shanghai municipal government and approved by Chinese Ministry of Information
Industry.

Under the initiative by Hartcourt to develop a high-quality 24-hour financial TV
program in China, Hartcourt and Hopeman have worked together to jointly develop
HCTV business strategy and financial TV programs. Both parties agreed to form a
Hartcourt majority owned joint venture in Shanghai. The joint venture's goal is
to become the CNBC equivalent in China and develop HCTV financial TV programs
for partners like China Cable Net. The developed HCTV financial TV programs are
to be marketed through cable TV operators to over 80 millions cable TV
subscribers in China, and to other media operations such as publishing and
Internet in Greater China region, including Hong Kong.

Together with SinoBull Financial Group, Hartcourt and its subsidiaries are now
capable to provide news, data and analysis to the business community and media
outlets, and provide real-time pricing, historical pricing, indicative data,
analytics and electronic communications. Existing and potential clients include
