Now it could be a merger? How will the CHUMPS on this thread get their IPO shares if there is a merger? Either way its a pure GEM?

NEWEST SHAREHOLDERS' LETTER FROM DR. PHAN
November 24, 2000

Dear Shareholders:

It’s a beautiful California morning on Thanksgiving
and I think nothing is more appropriate than sending a
“thank-you” letter to my shareholders, who have stood
by me and Hartcourt, especially during these darkest
hours of a Nasdaq melt-down and an all-year low price
of HRCT. You are my true partners who fully understand
that Hartcourt is not a short-term stock play; but a
long business journey with many ups and downs along
the way.
As I recently said at the shareholders’ meetings in
New York and Frankfurt, I have never felt more
confident on the future of Hartcourt. We have
positioned the company to be a major force in the
Chinese Internet market, and we expect to reap
significant benefit from the WTO implementation in
China. The turbulence of the stock market might slow
us down, together with everybody else, but after the
dust is settled, Hartcourt will stand taller than the
rest.
Let me explain my enthusiasm by giving you a quick
recap on Hartcourt ‘s current situation:
Our first priority is to complete the IPO of
StreamingAsia during the first quarter of 2001 as
previously announced. So far, everything related to
this task is proceeding according to plan.
Our second priority is to graduate beyond our current
OTC listing . This could occur as the result of a
merger with a Hong Kong-listed company or through
listing on another exchange. Progress has been made on
both fronts indicating that this objective could be
completed earlier than expected.
The operations of Sinobull are expanding at a faster
rate than previously projected. We should be able to
realize our monetization plan ( IPO or merger) of this
asset by the second quarter of next year.
Meanwhile, our Broadband ISP and IP phone project
might get an unanticipated boost by an extraordinary
bandwidth transaction we are working together with our
partner, Innostar.
As for Hartcourt Capital, I am going back to Germany
tomorrow in hopes of finalizing an alliance which
would link Koffman Securities ‘ operation to the
Europe and the US markets. Other projects on the
financial services sector are moving forward as
planned.
Financially, we should have enough cash to cover all
of our planned activities. If we decide to exercise
the $35 Million equity credit line with Swartz
Capital, we should have sufficient funding for the
next 20 years.
In short, the four major divisions of Hartcourt will
bring us the fruits we have long labored for. Nature
is never in a hurry; and as the season changes, the
harvest time will come. I am perfectly at peace ,
waiting.
Of course, there are always problems in the daily
management. The latest is the delay of the Q3 filing
caused by KPMG’s disagreement with the previous
auditors on the consolidation issue. It does not mean
a hoot to Hartcourt operations or its shareholders,
but bureaucrats, lawyers and accountants have a
different outlook on business than you and I. We might
have to change auditors to make the filing on time.
Whatever it is, we are ready to file at a moment’s
notice. There should be no problem of being de-listed
as some shareholders have concerned.
Best of all, the new generation of Hartcourt leaders
are well in place to drive this train to its great
destination. Dr. Charlie Yang has proven to be a
tireless fighter, Mr. Patrick Kwan, Mr. Simon Zhang,
Mr. Jiang Tai, Mr. Stephen Tang and all others are the
best young talents we all hope for. And they all share
the same vision, enthusiasm and determination that I
believe is necessary to realize Hartcourt’s mission.
We shall have 42 people joining us on the due
diligence trip to Hong Kong and China after Christmas.
They will report to you that there is no market as
explosive as China’s. We are the 49ers of the
Internet, and we are the best gold-diggers at the
biggest gold mine.
When I was young, I was picked on daily at school by
those big bullies, because I was small, poor and
foreign. I was determined to eliminate this unpleasant
situation. I went to a Judo training school, worked as
a janitor in exchange for tuition, and I trained at
least 5 hours daily to be the best. I thought I would
beat up the biggest bully in 6 months. However, it
took me 2 years before I got the best of him. I
learned 2 lessons in this experience: one, we can
always achieve what we set our mind upon; and two, it
always takes longer than expected.
Hartcourt is no exception. Like John Heywood have
said,” Nothing is impossible to a willing heart.”

So here I am. Just landed in Los Angeles 36 hours ago,
I have already received 27 Emails and 6 calls asking
why I was so quiet, when the next news will be, and
should we expect something big before or afterChristmas?
I had 38 meetings all together during the
last 6 days in Hong Kong and Beijing. In the holy
spirit of this season, I would like to ask you, my
dear shareholders, to grant me a little vacation. Youneed it too.
Actually, the news we released 3 days ago is quite
astounding from my viewpoint. The participation of Hua
Xia Info in the IPO of Sinobull.com was quite a big
shocking and envy to many major international brokerage
firms and investment bankers. They could not figure
out how we did it. You see, every American and
European investor knows the name of Merrill Lynch or
Charles Schwab. Most of the Chinese investors don't.
However, all of them know Hua Xia (China Securities).

As for the NASDAQ listing, our attorney is still
preparing the application. We are sorry for the delay
due to the holidays and some administrative procedures
which must be in place before submittal. By the way,
we do not need to merge with any other entity to be
listed, as we meet all NASDAQ requirements. We might
take over a NASDAQ company to use as a platform to
launch our LINUX software company, but that is another
matter. Details will be given, news will be released
once the transaction is completed.
As the year is ending, I listed all the pending
projects and outstanding tasks for 2000. It took 2
pages, comprising of 63 items. The road ahead is long
and exciting. I tried to project my business plan to
forecast the shape of Hartcourt by the end of 2000. We
should control and invest in 18 Internet companies,
our revenue should hit $42 Million and our net earning
should not be less than $3 Million. More importantly,
we will be the leading Internet company in Asia. I
share with you my dream not because I am hyping the
stock and hope to make a personal profit. I have not
sold a single share for the last 7 years and I will
not sell a single share for the next 3 years, until my
dream is fulfilled. However, as a small Internet
company, Hartcourt is full of risks. For those who
could not afford these risks, please sell your shares
and buy government bonds. You would sleep better and I
would sleep better. For those who remain, I promise an
all-out war to final victory. There will be mistakes,
setbacks and challenges, but destiny and providence
are on our side. We will arrive.
I have received many greeting cards and gifts from
you. I could not respond personally in a timely
manner. May I take this opportunity to thank you for
your love and support. May I wish all of you a
peaceful, memorable Christmas and all the happiness,
prosperity and success that the New Millenium will
