d. Two of Amplidyne officers have been involved with companies that have allegedly perpetrated securities fraud. Harris Freedman and Sharon Will, who are officers of Amplidyne and defendants in this action, have been associated with at least two companies in which the New York State Attorney General issued indictments for stock manipulation. Mr. Freedman and Ms. Will, either directly or indirectly, controlled substantial amounts of Netsmart Technologies, Inc. (NASDAQ: NTST) and Big City Bagels, Inc. (NASDAQ: BIGC) stock before their respective 1996 initial public offerings – companies identified in the Attorney General's indictment.
