Mindready Solutions Inc. Files Final Prospectus MONTREAL, QUEBEC--DECEMBER 12, 2000 - 10:26 EST Mindready files a final prospectus in connection with initial public offering Mindready Solutions Inc., a subsidiary of NURUN Inc., announced today the Company has filed a final prospectus in connection with its initial public offering of subordinate voting shares. This offering will raise gross proceeds of approximately CAN$30,000,000 through the issuance of 2,500,000 subordinate voting shares at a price of CAN$12.00 per share, and is expected to close on December 21, 2000. Underwriters have an option to exercise a greenshoe of 375,000 subordinate voting shares at the issue price over the next 60 days following closing. The underwriting syndicate is led by RBC Dominion Securities Inc., and includes CIBC World Markets Inc., Yorkton Securities Inc., Desjardins Securities Inc and National Bank Financial Inc. The prospectus was filed with the securities commissions in each Canadian province. The net proceeds of the offering will principally be used to support Mindready's acquisition plan. Mindready's headquarters are based in the Montreal area, Canada. Mindready also has offices in England and in Northern Ireland, and currently employs approximately 400 people.
