Notice is hereby given that a Special Meeting of the stockholders of Water Petroleum & Environmental Technologies Company, a Nevada corporation (the "Company"), will be held at the offices of Westerman Shapiro Draghi & Miller, LLP, 600 Old Country Road, Suite 500, Garden City, New York 11530, on December 12, 2000 at 1:00 p.m., local time. The meeting is being held for the purpose of considering and acting upon: 1. The approval of an amendment to the Company's Articles of Incorporation to change the name of the Company from "Water Petroleum & Environmental Technologies Company" to "SkyGivers, Inc"; and 2. The approval of an amendment to the Company's Articles of Incorporation to increase the authorized shares of the Company's common stock from 75,000,000 to 750,000,000. Pending the approval of the increase of authorized shares as described in this Proposal II, the Board of Directors has approved a stock dividend in the nature of a stock split pursuant to which each holder of Common Stock will be given 47.214457 additional shares of Common Stock for each share of Common Stock presently held by such holder.
