I other main point is that QCOM is splitting up the patent pool. They are keeping most of them, but they are giving Spinco enough essential IPR to horse trade with the GSM cabal. This is why QCOM put out the press release several months ago encouraging holdouts to license, because the license is going up. You will have to license with both companies because they will both own essential patents, and QCOM will still get the same license fee.
