NPCT update on S-3 filing
(These are comments from person who posted on another board.)

Back to the subject of the S-3 for 150M....

...which I think could be THE most important happening in the history of the
company...There was initially some concern about the massive addition of shares of
stock being dilutive to the share price. After thinking about it a bit more, I think that such
thinking is incorrect.

Here's my speculation as to what led to this filing (the amount of which surprised us all!).
Paul has a conversation with one of our JV's (or possibly a co not yet in a JV) a couple
months ago. That co has reviewed NCS to the point that they are sold on its attributes,
and need a bit more time to put together an integration / production plan. That
company's review and testing sold NCS so solidly that they believe the technology will
truly give them a leg up on competition. Paul receives a call from the company's CEO
who says they'd like to secure assurance of a long relationship with NPCT, and they'd
like to do that by investing in Nanopierce. Rough dollar figures are talked about, and a
number between 75-150 M is thrown around. Paul, with his agressive style, and
excellent relationship with the SEC, quickly puts together a stock financing package of
150M, and receives quick approval. The interested company sees the seriousness and
aptitude of NPCT in following through with their business plan, and has orally committed
to buying the interest in NPCT. At this time, NCS / product integration, and production
goals are being worked out, and a vote of that company's board of directors is being
planned for approval of the stock purchase.........

If the above is even close to the truth, we should hear a monumental announcement in
the coming months. Rather than being dilutive, such solid financial backing by an
industry leader would completely validate NCS, and would be received by Wall Street
amazingly well. That is when the real fireworks would occur.

And some final speculation about what will happen between now and then...Our share
price will rise to a level where the financing is far less dilutive than it would be if taken
today. Hopefully, it will rise to Small Cap qualification levels. The means of getting the
price up...well who knows.. but a contract with one of our other JV's like Elcos or Orga
would seem to do the trick.......

I don't care if the stock stays in this range at this time but feel the company is doing all it can to get on small cap
NASDAQ by early next year which means they need a 4 dollar
stock for 30 days. I truly feel Nanopierce is the next Qualcomm as it looks to have a big impact on the Nanotechnology world we are moving into. This company bodes
watching as we move into next year and beyond.
