** AGERE SYSTEMS FILES WITH SEC FOR IPO **
Agere Systems (Lucent Microelectronics) announced today that it filed a registration
statement with the Securities and Exchange Commission (SEC) for
a proposed initial public offering (IPO) of its common stock.
Morgan Stanley Dean Witter is the lead manager for the
underwriting group for the offering.

A registration statement, also called an S-1, relating to
these securities has been filed with the SEC. The S-1
provides a narrative description and financial overview of
the business. It is required prior to the IPO and is provided
as a means to inform investors about the upcoming offering.

Agere Systems is seeking to have its shares trade on the New
York Stock Exchange under the symbol AGR.
