Andrew, see the pro forma financial statements on page 29 of this prospectus:

I calculate the following:

Cash goes up 27%

Working capital goes up about 79%

LT debt remains negligible

Shares outstanding go up 76%.

Cash per share goes down from $5 to about $3.50

Working capital per share is unchanged.

Net-net value* will be about $8.30 per share

*Net-net is essentially the liquidation value of the company: it's the working capital minus the LT debt. Some value investors like to buy stocks selling <67% of net-net, which would be about 5 1/2 for post-merger Mattson.
