do you suppose that there is some thought of undoing the union or, at least, modifying the acquisition formula to make the deal less expensive to JDSU

The deal is less "expensive" than the 41BB headline number. But then again, JDSU is paying with a cheaper currency. In fact, the price is the same, since it's stock-based. However, the cash kickbacks to Scifres of 75 mil and some decent bucks to other SDLI execs are relatively more expensive, but still pretty small in light of the total value of the deal (measured in depreciated stock value). If anything, I think the concerns raised by DBAB about demand for passives underscores the need for JDSU to remain on the forefront of actives. Which makes SDLI a good fit, IMHO.

Now that some of the sheen has come off this industry, do you suppose that there is some thought of undoing the union or, at least, modifying the acquisition formula to make the deal less expensive to JDSU? Is the one month postponement of the companies' meetings in any way connected to this?

Absolutely not. I think the back-out fee is something like a billion dollars.

At the prices the two stocks, JDSU and SDLI closed today, could anyone suggest which stock is a better stock to buy, if the merger goes through on the original pricing terms?

Thank You.
