Telecommunications, Inc. during the first quarter of 2001. The above
projected results are based upon the consummation of the acquisition
of STI by ACEN, which is subject to certain conditions that are
currently being completed by ACEN. The Company believes that these
conditions will be satisfied, and the acquisition of STI will be
consummated within the terms of the Agreement. The above revenues and

by completing the acquisition of STI, and do not take into account
