Mary, RE: Isn't the tax for cash the same as for stock? Don't you have to pay tax on the value of the stock on the day of transaction closing?

Nope.

If it's a cash deal, it's a capital gain.

If it's a stock deal, it is treated as a transfer of interests, not a sale. It isn't taxed until the new shares are sold.
