I think what they mean is there might not be an IPO, but the spin off would certainly be to shareholders. Just like LWIN with the exception of SpinCo being tax-free.

They can spin off w/o issuing an IPO, it would be a wholly owned subsidiary.

David - I think that they are talking about spinning off the company to the shareholders (i.e., distributing Spinco shares to QCOM shareholders of record at some specified date) - in a tax-free spinoff I assume - without first doing an IPO. I would assume that the shares get registered to trade and the then current Spinco shareholders can start trading their shares.

One thing I am certain of - nothing can or will happen that deprives the shareholders of the value of Spinco if it is actually spun off.

This is the clearest statement yet, imo, that Q would like to NOT spin the asics unless the last couple 3G license holdouts make that necessary. Stating the possibility of not spinning could indicate optimism in those discussions. Should be an interesting topic in the cc.
