Adam,

On NQ's.

When you exercise you (either from your own account or via a broker) forward the funds+associated taxes to the company. The company forwards the equity to your brokerage who can then sell the stock or hold it. Withholding is done by the company... not the brokerage. The income (gain from the exercise) will show as income on your W2 as will the taxes paid.
