The new vision of Arete Industries, Inc. is to cultivate business start-ups. NARRATIVE DESCRIPTION OF BUSINESS OF THE COMPANY:

The first business opportunity which the Company is cultivating is in the summer and winter alpine sport segment of the specialty outdoor adventure sporting goods industry. This segment is one of the fastest growing areas of the sporting good industry with the product categories such as snowboards , snowshoes, and mountain biking. In recent years, these products have created an entirely new industry niches. The Company is entering this segment with innovative patentable products that can be at the leading edge of entirely different new catgories. Each of the approximately 30 products currently under development or proposed in the near term, is directed at creating a new and unique experience for the weekend explorer, the expert and recreational user. The ability to create this unique experience is illustrated by the Company's first two products: the snowshoe and the alpine scooter.

"The Arete Outdoors Website will be constructed as a destination site for the outdoor
adventurist with product reviews, special sections of content directed to particular
events,activities and interests, forums, classified adds, an auction site and a store,
among other features. The site will feature products, services and content provided by
Mike Lowe, Greg Lowe and special contributors and other prominent members of the
outdoor adventure community."

In January 2000, Aggression Sports entered into an agreement to issue 30% of
its outstanding common stock in exchange for the right, title and interest in
approximately 30 products in various stages of development and various stages
of the patenting process. As a result of this agreement, the Company's
interest in Aggression Sports has been reduced to 31%. Aggression Sports is d/b/a Arete outdoors.

COMPETITION:

The outdoor sports business is highly competitive and Arete Outdoors will have a
number of competitors across the United States. Sizes of competitors range from
small privately held businesses to large, well capitalized corporations, with
substantial operating histories. Arete outdoors will address the competition by
being one of few companies to launch its products and sell primarily over the
internet. In this way, it will not have to invest substantial sums of money
developing a wholesale distribution network in order to break through entry
barriers. This will require a substantial investment in publishing and
advertising its new website. Arete Outdoors will operate a community website
which is designed as a destination site for outdoor adventurists and
enthusiasts. There are several outdoor websites already in existence which have
substantial traffic and are well funded with private and public venture capital.
Although the company's website design is unique in the industry, the Arete
Outdoor website will compete with the existing sites for this traffic.

Arete Industries,Inc., VTL's incubator partner seeks to assist VTL in arranging start-up financing of a $3 million convertable preferred, which is the first in a series of up to a total of $18 million of incremental instutional financing. The $3 million proceeds will be used to prepare the products for commercial introduction, to provide the marketing and sales effort to demonstrate market acceptance, and to finance initial operations.

VTL has developed a breakthrough language learning software program that incorporates voice recognition, neural network and intelligent agent technologies. The software program adapts the language learning skills of the student. It works by measuring the accuracy of the student's verbal expressions against the intended response and automatically cues the student to his or her progress.
