16, 2001, on behalf of purchasers of the securities of Nortel Networks
Corp.,("Nortel" or the "Company") (NYSE: NT; TSE: NT) between January 19, 2001

The action, numbered 00CV0945, is pending in the United States District Court
for the Eastern District of New York, located at 225 Cadman Plaza East, Brooklyn
NY, 11201, against defendants Nortel, John Andrew Roth (CEO, President and
Director), William F. Conner (President of Nortel's E-Business Solutions),
Chahram Bolouri (President of Nortel's Global Operations), and Frank Dunn (Chief
Financial Officer). The Honorable Raymond J. Dearie is the Judge presiding over
the case.

The complaint charges that defendants violated Sections 10(b) and 20(a) of the
Securities Exchange Act of 1934, and Rule 10b-5 promulgated thereunder, by
issuing a series of material misrepresentations to the market between January
18, 2001 and February 15, 2001 concerning the demand for its products.
Specifically, the complaint alleges that defendants issued a press release on
January 18, 2001, (after the close of the securities markets) announcing record
operating results for the year 2000, and especially strong fourth quarter of
2000 performance. In the press release, defendants represented that Nortel's
"global reach and industry leading portfolio" would allow it to "continue to
outpace the market and gain profitable market share" even in the face of the
"tightening of capital within the telecom sector." The announcement sent its
stock price soaring 10% in one day. The complaint alleges that the statement was
materially false and misleading when made because the Company had no basis for
reassuring the market that demand for its products would remain robust, given
the economic slowdown that was impacting companies in general and the
telecommunications sector -- upon which Nortel relies -- in particular. On
February 15, 2001, less than a month after issuing its market moving
representations, Nortel issued a press release announcing that it was
drastically lowering its guidance for Nortel's 2001 fiscal year because of
decreased demand for its products due, in large part, to spending cuts by
telecommunications companies. Following the announcement, Nortel's stock price
plunged by 34% in one day, from $29.75 per share to $19.50 per share (erasing
$33 billion of Nortel's market capitalization). Prior to the disclosure of the
true state of its business, individual defendants Bolouri and Conner
collectively sold over $7 million of their personally held Nortel stock.

William, the article fails to explain that Nortel is working on an O-O-O switch whereas Ciena's switch is an O-E-O switch. Nortel's switch started trials with an unnamed carrier before the first of the year. They expect commercial deployment within this year. The benefit of the Nortel switch is that it will eliminate the need for much of the O-E-O
conversion with regeneration in the core of the network and will also reduce the need for many of the core routers. Nortel's network management product is the predominant management product in the optical core. That has to be an advantage in marketing the switch. The provisioning of bandwidth, which Nortel does particularly well, is also important and Nortel anticipates many improvements in its ability to provision bandwidth and software. Ciena has a good switch but they appear to be behind Nortel in other significant areas.

This guy Moritz is a one-note Johnny.

The vaunted CIEN Core Director switch is like a $100-$150 million (annually) product line. NT "lost" 1,800 million in expected sales for one quarter.

You don't need an abacus to figure that competition from CIEN, if any, is not a material component of the sales shortfall. Indeed, it is insignificant.

So, I'm a little tired of the mathmatically challenged Mr. Moritz. I suppose it makes for good press.

Having said that, I sold 70% of my NT position today and rolled it into other optic companies that were getting slammed as well. I will probably sell the other 30% if we get a DCB next week. I will not be around the third time NT disappoints (let's see, it will be the Asian slowdown next time around) nor the fourth time, when it delays shipping of the new product line on account of "difficulties deploying field engineers for installation" (since presumably a big whack of that crowd is getting pink-slipped).

Lastly, my guess is that WCOM is one of the major carrier customers with frozen 2001 capex.

evidently mr. moritz and you, mr. hunt, do not know that not ciena, sycamore, tellium, nortel, juniper nor cisco has an optical switch. NO ONE has an optical switch yet. to write about nortel missing the optical switch market is absolute nonsense. when, and if, a true optical switch can be developed nortel has a better chance than the others named above to do it. i'd guess it'll be done by a couple of guys who are still teenagers. nortel has also missed the market on the quantum network.
it's easy to pile criticism on the gladiator in the ring when he stumbles. it's said that the key to success is knowing how to deal with failure. in that area i'll put my money on roth. rather than printing sniggering, contentless articles when a big firm stumbles, it would be better to sit down a try to see if there is a big bargain at hand.
