Tony - all of the above, plus obsolete cache design, lack of attention to detail like the I/O module screw-up on UE10000 and UE6500, failure to build services capability for their high end business, competing with their channel which (since those guys also sell products where the vendor does not compete) shifted sales, and so on. I think that their management depth has been insufficient to keep pace with their shift into higher end servers.
