Is this what you are referring to? 1) Vulcan Ventures, Inc. ("VVI") and Paul G. Allen are filing this Form 5 as a result of VVI and Paul G. Allen's position as a director by deputization of Infospace, Inc. ("Infospace"). Pursuant to Section 5.14 of the Agreement and Plan of Reorganization dated July 26, 2000 by and among InfoSpace, Inc. and Go2Net, Inc. effective 10/12/2000 (the "Reorganization Agreement"), the board of directors of Infospace is required to use commercially reasonable efforts to appoint a designee of VVI to the board of directors of Infospace, for as long as VVI retains 80% of the common stock VVI held of Infospace as of the effective time of the Reorganization Agreement.
