I think JDSU was too eager for the deal to close, thus taking a chance on some of the contractual details that could've (and should've) included. One of such could be a stock price collar, like what CIEN and TLAB had in their ill-fated merger attempt.

I respectfully disagree. The merger vote was postponed twice --- an action that had to be painful and no doubt was done under duress --- and while they waited for the DOJ to make its final ruling, they had months to study possible acquirers for Zurich. Without full cooperation of NT, JDS couldn't possibly have known the full picture regarding their slowdown. They knew NT had adjusted guidance at the time of their conference call. We can assume they asked if anything had changed. However, we don't know what answer NT gave.

In place of a price collar, NT agreed to buy $500M over the next 3 years (through 12/31/03).
