IPVC - IPVoice Communications, Inc. To Acquire Synergie.net In Stock Transaction UK-based Company Expects Annual Revenues Of $7.0M Following Acquisition By IPVC; IPVC Moves Closer to Achieving Projected Goals Of $20M In Revenues This Fiscal Year SCOTTSDALE, Ariz., Mar 1, 2001 (BUSINESS WIRE) -- IPVoice(TM) Communications, Inc. (OTCBB:IPVC) emerged from an SEC-filing "quiet time" to announce that it has signed a letter of intent to acquire Synergie.net (www.synergie.net) - a convergent telephone and internet service company based in London, England. The announcement comes as IPVoice(TM)'s VoIP network gains momentum, with revenues showing continued growth and no signs of slowing down. With the acquisition of Synergie.net, revenues will receive another shot in the arm - the British company reports $200,000 plus in current monthly revenues, and projects over $7.0M in annual revenues post IPVoice(TM) acquisition using IPVoice(TM)'s network. Synergie.net's cornerstone offering is a converged telephone and internet service which provides a deeply discounted telephone service along with free access to the internet, providing its customers with significant cost savings. By aligning itself with IPVoice(TM), Syngerie.net can expect to see its network costs reduced in half - significantly increasing profits. In addition to its existing customers, Synergie.net announced in November 2000 that a contract has been signed with UK-based The Federation of Small Businesses (FSB), a powerful business group with approximately 155,000 member organizations, which aims to promote and protect the interests of small businesses. Synergie.net will provide the services supporting a recently launched telephone service being offered to FSB members. This lucrative contract is expected to generate at least $6,000,000 in annual revenues. Barbara Will, President of IPVoice(TM) Communications, Inc., states, "This transaction will greatly benefit all parties involved. Through the acquisition of Synergie.net, IPVoice(TM) aligns itself within the overseas market with an established presence in London. Synergie.net gains access to IPVoice(TM)'s network, dramatically reducing their overhead costs, and providing an extremely profitable situation. The acquisition of Synergie.net customer base will add at least $7.0M to IPVoice(TM) annual revenues in the first year alone." A further benefit of the acquisition will be realized in the management arena. Synergie.net's executive management team, led by Gary Nield, Managing Director, is highly experienced in the field of telecommunications. According to the stipulations of the arrangement, members of Synergie.net's executive team will be appointed to senior positions at IPVoice(TM), thereby enhancing an already talented and able managing body. "Both companies can look forward to greater advancement in the VoIP marketplace on both sides of the Atlantic," continues Ms. Will. In addition to its telephone and internet service, synergie.net is the creator of proprietary e-commerce software known as the Synergie Trading Portal. This state-of-the-art e-business solution allows synergie.net to custom-tailor a company's web presence to meet the needs of potential customers. "This acquisition allows IPVoice(TM) to meet its business plan objectives by expanding its services into the e-business marketplace as well as VoIP," Ms. Will continues. "Synergie.net's current and potential business opportunities makes this acquisition ideal for IPVoice(TM), and will enhance shareholder value as our revenues and profits soar."
