Given that the meaning of "substantially identical" is so vague..

its not likely that a tax expert will be able to give you an answer (unless they've been involved in an identical case). In the end, it will come down to the taxpayer making his/her case with the IRS auditor.

I see the fairmark example as being just the opposite of the LMNE/MRVC situation- two companies coming together vs. two companies splitting apart. The person who sold MRVC and bought LMNE lost all potential benefit of owning OPXS, CWNT, etc. That's not the case with the person who sold X and bought Bigco. JMO
