PEORIA, Ill. -- Rohn Industries Inc. (ROHN) plans to begin a Dutch Auction tender offer to purchase up to 5.43 million, or 10.3%, of its outstanding common shares.

Under the terms of the offer, Rohn shareholders can offer to sell to Rohn all or a portion of the shares they own within a price range of $3.75 to $4.50 a share cash, without interest, Rohn said in a press release Thursday.

The offer begins Friday and is set to expire April 6, unless extended.

Rohn also said that the UNR Asbestos-Disease Claims Trust, which currently owns 29 million shares, or 56% of the company's outstanding shares, has agreed not to tender any shares into the offer.

As part of the agreement, Rohn will purchase from the trust, following the expiration of the tender offer, the same portion of the trust's shares as it purchased from all other shareholders in the offer, at the same price paid in the tender offer.

Rohn expects to complete its purchase from the trust 11 business days after the tender offer expires. Assuming the tender offer is fully subscribed, Rohn expects to purchase about 23.1% of its outstanding shares in the offer and from the trust.

The dealer manager for the offer is Peter J. Solomon Security Co. Ltd.

Rohn Industries makes and installs telecommunications infrastructure equipment for the wireless and fiber optic industry.
