Executive Summary

The decision of several Far East countries to join the World Trade Organization has mandated them to open up their telecommunications markets to competition, creating a window of opportunity to gain a significant presence in the Internet Protocol Telephony and Wireless Local Loop communications industries. AccessTel's management is prepared to take advantage of that opportunity now utilizing their vast telecommunications presence, experience and technology.

OEM Relationships

AccessTel also plans strategic Original Equipment Manufacturing relationships with a number of large system manufacturers, allowing the sale and distribution VPN systems without much capital investment from AccessTel itself. J. Risks

Access-Tel is dependent on a strong stable Internet Service Provider. It is dependent on Sprint, for speed and accessibility of its fiber backbone. The company believes that it will be able to keep up with upgrades by increasing its bandwidth capabilities continuously. Future product plans are not as dependent on this Internet Provider. There is a large selection of alternative providers already available in Silicon Valley.

Market Analysis

A. Market Description

We expect to compete in the VolP market of the Internet Telephony Industry. This market was approximately $13 billion in 1998, according to IDC, and according to IDC, suggests this market will grow to $100 billion by the year 2003. The major forces affecting this change will be falling cost of computers, gateways and the explosion of Internet use. The area of greatest growth within the industry will be business to business VolP. We define our market segment as the International business to business Internet Telephony industry. This segment has been growing steadily in the last few years. Industry experts like IDC and Dataquest forecast 300% growth for this industry in the next few years.

B. Target Market IP Telephony

Due to our lucrative termination rates in the Far East, AccessTel holds "Memorandums of Understanding" on more than 5 million minutes per month traffic to China & the Far East. We have tested our demo version of the Gateway and feel our customers perceive our services as a superior solution.

Page # 9

IV. COMPETITIVE ANALYSIS

A. Competition

AccessTel products/services offer simplicity in Internet Telephony and focus on small to medium size businesses. Companies that compete in this market are major telecommunications companies which focus primarily on larger companies.

The major competition offer limited services and target a different market segment than the company. AccessTel's strategic partners in the destination countries offer support operations and lower cost for termination.

AccessTel's total solution offers a unique fixed-wire/wireless technology which allows businesses to communicate more effectively without special equipment. Services perform in virtually all situations where a phone line is not available and the customers have limited technical expertise.

V. PRODUCTS AND SERVICES

Access-Tel offers the following products: The VolP and Wireless Local Loop services. Presently, our VolP service is ready for the deployment stage. We first developed our product/service in 1998 and have made many improvements in designs since then.

VI. MARKETING AND SALES

A. Marketing Plan

The overall marketing plan for out products/services is based on the following fundamentals:

The company will rely on a combination of our direct field sales and re-seller channels with an emphasis on establishing a worldwide distribution network. The investment in a global sales organization will have a positive influence in the name recognition of the product line. AccessTel will contract a tele sales organization for the support of the WLL, VPN product line and VolP services.

Page # 10

B. Sales Strategy

1. Product Positioning

Our product's unique technical advantages lead to the perception that only one solution like this exists today.

A multi-tiered sales strategy:

Our sales focus is: cooperative partnerships such as relationships with local PSTN and telecommunication companies The second focus is on distribution channel development and penetration into the Business to Business market.

Small international businesses are primary targets for using our services.

C. Distribution Channels and Partners

Distributors

Targeting of our distributors is a crucial element of our marketing plan. We will select pre-existing distribution channels that are professionally staffed, stable and well regarded.

Manufacturers Representatives

Because manufacturers' representatives carry several product lines that are compatible with ours. We believe it would be appropriate to select manufacturer representatives carrying other complementary and compatible products and services.

International Market

Our first steps will be in the US market. Due to the nature of our product and services. However, we believe that Asian sales should be very attractive and easy to deploy.

D. Marketing Communications

AccessTel recognizes the key to success at this time requires extensive promotion. This must be done aggressively on a selective scale. To accomplish our sales goals, we require an advertising agency and public relations firm. AccessTel plans to advertise in major trade magazines such as Inc., the Entrepreneur, etc. Upon funding, an agency will be selected and, with its assistance, a comprehensive advertising and promotion plan will be drafted. We will advertise both independently and in cooperation with distributors, retailers, and companies that have joint marketing relationships with us.

Page # 11

We will communicate on a regular basis with the following:

1. Trade Shows

AccessTel participates in three kinds of trade shows: Internet Telephony, Business technology shows and small business shows.

The company has been involved in numerous programs to promote awareness of its business and products, including the following:

2. Advertising:

AccessTel is developing print media ad campaigns targeted at trade journals with appropriate editorial emphasis as well as catalogs designed to invoke direct telesales. It will also advertise in search engines and other Web-Sites on Internet.

3. Press Releases:

AccessTel is planning on employing under retainer, a full time PR manager to continue influencing the coverage of this cost effective medium.

Well, I suppose it's possible that Chalem and Bockler didn't know each other. After all, Chalem had only been living in the house on Bluebell Lane for a few months. Still, their vicinity is an odd...coinkydink, as Chickie would say.
Just who IS "Stuart Bockler"? We've seen the domain registrations for his two websites (only one active). Earlier today he was quoted in the press as saying that his "research" had been stolen, even though no attempt was made at the StockInvestor site to conceal the fact that the "report" on GDIS had been written by Bockler; all references were provided for anyone who might wish to get in touch with him.

For the "theft of research", see:

bergen.com

As noted previously, IMO Bockler's "research" is not, ah, groundbreaking. It consists in large part of general observations and of juicy quotes from GDIS press releases.

How does Bockler describe himself?

International Market Advisors, Inc.

Stuart Bockler, President

Tel # 732-591-0520 -Fax # 732-591-0490

A veteran in the brokerage industry, Stuart Bockler spent the better part of ten years as a Wall Street Broker, Vice President & Asset Manager for firms like PrudentialBache Securities, PaineWebber and Advest Inc. before starting International Market Call, Inc. for research and publishing & International Market Advisors, Inc. to assist public companies in their need for advice on penetrating the institutional arena.

The investment philosophy used by Stuart Bockler, is to enhance shareholders equity by early recognition of young companies in high growth areas with the ability to attract significant corporate or institutional relationships to accelerate manufacturing and distribution channels: Biotech (Pharmaceuticals, Blood Replacements, Transplants) High Tech (Chips, Software, Hardware innovations) Banking & Commerce (Internet & Electronic, Foreign & Domestic Mergers)

Once these companies are selected we will continually monitor management to ascertain the ability to meet and deliver on their business plan. This will reduce our selection to a few stocks which we will supply current news, earning estimates and purchase and exit prices as well listed options when available.

Stuart Bockler has been a regular guest with spots on CNBC?s Money Wheel & Buy-Sell or Hold, CNNFN and currently Bloomberg TV. Stuart Bockler has been quoted in print in Investors Business Daily and the Wall Street Journal, as well as the New York Times, New York Post, Washington Post and USA Today.

imcadvisors.com

Well, um, maybe they were just firms "like" Pru, PeeWee, and Advest, because if you go to nasdr.com and try to find employment records for Stuart Bockler with 'em, you'll come up empty. "No match was found..."

But what's this from "DrKnow"?

Now, 10 days later GDIS trading @ 4.8750 and SRGE @ half of that. Public does not seem to be impressed by the merger. Neither am I. Too many very questionable monkeys at the helm, to many suspicious , and even more Canadian "sales" following the buy rating issued by NASD ex-member Stu Bockstein. Watch OUT !!

2 slain men may have stolen reports
Friday, October 29, 1999

By LINDA A. JOHNSON
The Associated Press

TRENTON -- Two Internet penny stock promoters found shot to death in a Colts Neck mansion apparently stole copyrighted stock analysts' reports, then distributed them free electronically to lure potential investors to their Web site.

One longtime New Jersey analyst, Stuart Bockler, said Thursday that his reports on at least one company, Global Data Tel, were stolen twice this year and e-mailed to countless investors who had signed up for free monthly research reports from www.stockinvestor.com

Bockler speculated that the outfit was buying inexpensive stocks at low prices, posting recommendations that investors buy them, and selling before the price fell, a common tactic in the growing number of Internet stock frauds. Bockler said Global Data's price jumped briefly after the second e-mail, just two weeks ago. He plans to sue the company.

"They're stealing my work and other people's work and making a business out of it," said Bockler, who sells his research and advice for an annual fee on his own Web site. "They have pirated considerable funds from us."

Authorities say www.stockinvestor.com was operated by two men killed Tuesday in a mansion in affluent Colts Neck: Alain Chalem, 41, who lived there, and Maier Lehmann, 37, of Woodmere on Long Island. Monmouth County authorities said Thursday that they were pursuing several leads, including the theory that the men were killed by a disgruntled investor.

Detectives from the county Prosecutor's Office, FBI agents, and Securities and Exchange Commission investigators were trying to unravel the complicated stock deals in which the men were involved.

They were not registered stockbrokers, but promoted individual stocks with forecasts that the stock price was about to take off, accompanied by real reports from brokerages and analysts.

The men's site bills itself as offering "prestige investment information." The site was still operating Thursday, although some functions were not working and the top analyst's report on it was from Feb. 5, apparently indicating that much of the site is automated.

"It's rumored that stockinvestor.com had built up a database of about 5 million to 10 million e-mail addresses," Bockler said. "Ten million e-mails would artificially move a stock over and above its normal valuation."

Global DataTel Inc. (OTC BB: GDIS) has already started calling itself the America Online for Latin America, but there are scant details to back up the claim. DataTel does not file with the SEC, so there are no financials on record for investors to review and trace the source of the $29 million in revenue the company claims for 1998.

Despite this lack of information, investors have been pumping money into DataTel for the past month, pushing it above $17 per share after wallowing in the $5 to $6 range.

Part of that pump might be coming from the lavish write up the company received by Stock Investor, a stock promotion site (whose Internet domain is registered in Panama) that does not disclose whether it's paid to tout companies. But, like many promo pieces, this one is pretty ambiguous when it comes to hard info on DataTel.

For example, it lists a host of achievements for the company, but reading further it appears these gold stars actually were earned by companies that DataTel has since acquired. Same thing for the company's sales. According to the hype published on Stock Investor by International Market Advisors Inc., more than half of 1998's $29 million in revenue was earned by companies before they were bought out by DataTel.

And if investors are bored with the details of DataTel's core business, there's been a side show going on for about a month between DataTel and an investment banking firm in South Florida, Joseph Charles & Assoc., Inc. Joseph Charles claims DataTel duped them out of some shares, while DataTel counters that Joseph Charles sold the shares short and is trying to cover its position at the expense of other investors. It's been a veritable fistfight of press releases and message board venom.

DataTel's claim to have the edge in the Internet market in Latin America would seem a bit of a stretch also. Other players, including Yahoo! and America Online, have targeted that market to varying degrees. And one of last week's most successful Internet IPO's, StarMedia Networks Inc. (Nasdaq: STRM) leaves Global DataTel in the dust. After going public at $15 per share, which raised $105 million, StarMedia closed out the week trading at $58.88. StarMedia's core business is developing Spanish language Internet portals for Latin America.

One more warning sign for investors is DataTel's early promises for raising capital and filing with the SEC, neither of which has come to pass. Three months ago, DataTel issued press releases saying it planned to raise $50 million through a convertible bond issue, and that it would soon be filing an initial Form 10 with the SEC. Since then, there's been no further mention of progress on either the bond issue or the SEC filing, although the company has issued an average of one press release per week since the beginning of March.

AccessTel Inc. Receives Approval for China's first ``Digital High Tech Park'' by the First Deputy Mayor of Shanghai, Zhen Liang Yu and Staff

SAN JOSE, Calif. (OTCBB NEWSWIRE), Dec. 21, 2000-- AccessTel/Shopss.com (SHPS: .97), soon to be renamed AccessTel Inc., today announced that AccessTel Inc. management team headed by world-renowned Scientist, Dr. William C. Y. Lee received approval of first "Digital High Tech Park" by the First Deputy Mayor of Shanghai, Zhen Liang Yu in charge of Economic Development in Shanghai. Pictures of the meeting are available at accesstelinc.net.

Commenting on the matter, Lawrence Liang, president and CEO of AccessTel Inc. said "We have received the full cooperation from the local government of Shanghai for the rapid deployment of Wireless Digital Services from our new offices in the COAHEJING Tower in Shanghai," stated "I am very pleased that Dr. Lee will be actively involved in the architecture and design of the broadband wireless Internet services we deploy in the High Tech Park. Over the next 3-5 years, the value of the COAHEJING Digital Project is estimated at $100 million or more in US dollars."

AccessTel Inc.'s contract with the CAOHEJING High Tech Park in Shanghai, China is to establish wireless broadband network systems to provide Broadband Wireless Internet Services for the High Tech Park. The High Tech Park covers an area of more than 6 sq km, with approximately 1,000 operating companies of which 260 are foreign owned; Lucent Technologies, Intel, Lattice Bell, Philips, Dupont, 3M, GE and Toshiba etc. with a contracted investment of $1.5 billion US.

"AccessTel Inc. has broadband wireless Internet technologies and market share. I am looking forward to assisting the implementation of this technology in China and in the development of China's first digital High Tech Park," stated Dr. William C.Y. Lee upon returning from China after completing the initial deployment plan for the COAHEJING Digital Project with AccessTel Inc.'s management team.

Dr. William C.Y. Lee is regarded as a leading authority in the world of wireless communications, specifically for his enormous contributions in developing commercially viable analog and CDMA technology. Dr. William C.Y. Lee is Chairman of the board of LinkAir, a technology research and development firm, whose LAS-CDMA technology is positioned to revolutionize the wireless industry by enabling voice and data services that will rival the quality offered today by high speed landline connections.

Dr. William C.Y. Lee apparently joined AccessTel Inc. as an original founding shareholder from Vodafone Airtouch, the world's largest mobile telecommunications company and helped guide the company's strategy since its inception. With more than 35 years wireless experience and more than 25 US patents -- with 11 more pending -- Dr. William C.Y. Lee is an expert in developing marketable communications technologies.

Dr. William C.Y. Lee spent 15 years as one of the pioneers in developing the advanced wireless technology-AMPS-for Bell Labs. He also headed the advanced mobile communications system for the ITT Defense Communications Division system in 1990 that increased radio capacity by 2.5 times over the conventional microcell model.

During his illustrious career, Dr. William C.Y. Lee has published more than 200 articles and several books on CDMA theory and technology. He also has been elected as an IEEE Fellow and has served as a member of numerous councils, including the California State Council on Science and Technology, the US Council on Competitiveness and the FCC Technical Advisory Council. He has earned many prestigious awards, including the IEEE VTS Avant Garde Award, the CTIA Award, the CDMA Industry Achievement Award, the SATEC Award, a Bell Lab Service Award and, most recently, the IEEE Third Millennium Medal Award.

Unfortunately, the stock currently appears to be in a down trend from the $3 area. In May of this year, the stock price was less than .50.

Greetings Ken,

Thank you for following up with the marketing meeting for the
Embedded Systems conference. Since we are less than two
months away from the conference, it is important for the marketing
representatives from the various companies to get together on
September 22 to discuss the marketing message. I will be
representing HP in the marketing meeting.

As a suggestion, I propose we make the following joint press
announcement:

--- Sun, IBM, NewMonics, QNX, HP, Access, (+ whoever wants
to participate) .... band together to push foward a Real Time
Java Specification.
--- Group of vendors form an Open Industry Expert Group for
Real Time Java.

Of course these announcements will depend on whether
Sun's new specification process is really OPEN and vendor
neutral and whether nonlicensees can tolerate Sun's Expert
Group membership agreement.

Thanks for organizing our next meeting!

Best Regards,

Hi,

At our last meeting dealing with the real-time demo in San Diego, we talked
briefly about marketing issues such as PR, technology naming, etc. I
volunteered to get the right people at Sun involved. Those people from Sun
are:

Marketing for real-time and EmbeddedJava:

Vicki Shipkowitz
(408) 343-1837
vicki.shipkowitz@eng.sun.com

PR for the Consumer Embedded division:

Rebecca Baer
(408) 863-3275
rebecca.baer@eng.sun.com

We discussed setting up a meeting to deal specifically with PR issues at
our
upcoming meeting this month. Before this happens, I want to make sure that
the
PR people from all the respective companies hook up. They may decide that a
meeting this month is not necessary. Please have your representatives
contact
Rebecca Baer or Vicki Shipkowitz as soon as possible. Rebecca is out of
the
office until 9/10, but you may contact Vicki in the interim.

I will leave it to the PR community to decide if they need a meeting,
mailing list, etc.

Thanks,

Kevin Russell

CHINA CRACKS DOWN ON FOREIGN INVESTORS IN CABLE NETWORKS

China's telecommunicatons regulator threatened to seize assets in a move to reinforce a ban on foreign investment in domestic telecommunications networks. The move, announced on the Ministry of Information Industry's Web site, follows widespread links between local cable-television operators and companies seeking to use those networks to offer lucrative services such as high-speed Internet access. A crack down on the practice could threaten the business operation of some Hong Kong-listed companies that have invested in China's cable networks, usually with the tacit approval of local governments. The ministry's notice said foreign companies, including Hong Kong and Macau concerns, can't invest in telecom networks before China's expected entry into the World Trade Organization. The notice requires foreign investors in telecom networks to report to the ministry and "voluntarily rectify" the investments. Local governments and companies that own fiber-optic networks are also required to report their holdings within 30 days.

The notice exempts companies with a basic license for telecommunications services, including state-controlled China Telecommunications, China Mobile Communications and China Unicom.
