<<<-- =DJ Agere/New Terms -2: Terms Lower Than Expected >LU --

By Raymond Hennessey
Of DOW JONES NEWSWIRES

NEW YORK (Dow Jones)--As expected, Agere Systems Inc. has altered the terms of
its initial public offering. It now plans to sell 600 million shares at between
$6 and $7 each.
The new terms were disclosed Thursday in a filing with the Securities and
Exchange Commission.
Agere, the optoelectronics unit of Lucent Technologies Inc. (LU), was expected
to sell 500 million shares at between $12 to $14 a share, which would have been
the second-largest domestic IPO ever, behind last year's more than $9 billion
IPO of AT&T Wireless Group (AWE).
The new terms come in short of what many IPO analysts had been expecting. Many
market observers had suggested the deal could be sold in the $8 to $10 range,
although many also predicted the number of shares would be raised somewhat. >>>
